Recordly is a desktop screen recording and video editing application that helps users record their screens, edit recordings, apply visual effects, and export videos.
By accessing the Website, creating an account, purchasing Recordly, downloading the software, or using the software, you agree to these Terms. If you do not agree to these Terms, do not use the Website or software.
Your purchase is also subject to any additional terms clearly presented during checkout.
2. Eligibility

You are responsible for maintaining the security of your account and for activities carried out through your account, except to the extent that applicable rules provide otherwise.
You must notify us promptly if you believe your account has been accessed without authorization.
You must not impersonate another person, create accounts for fraudulent purposes, or use another person’s account without authorization.
3.3 Account Access
We may take reasonable steps to protect the security and integrity of the Website, including restricting access where we reasonably suspect fraud, abuse, or a violation of these Terms.
Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before restricting an account, except where immediate action is necessary to protect users, the Website, or our rights.
4. Purchases and Payments
4.1 Purchase Process
Recordly may be purchased through the Website at the price displayed during checkout.
You agree to provide accurate information necessary to complete your purchase and authorize the applicable payment provider to process your transaction.
The final price, currency, applicable taxes, and any other charges will be presented during checkout where applicable.
4.2 Payment Confirmation and Download
After your payment is successfully completed, the Website redirects you to the software download page.
You are responsible for downloading the appropriate software version for your computer and ensuring that your device meets the stated system requirements.
A successful payment does not guarantee that the software will be compatible with every device or operating system configuration.
4.3 Purchase Records
We may retain purchase information necessary to confirm transactions, respond to purchase-related inquiries, handle disputes, and comply with applicable obligations.
If you experience a problem after payment, contact us using the support details provided on the Website.
4.4 Pricing Changes
We may change prices for future purchases, subject to any applicable obligations.
A price change will not retroactively change the amount already paid for a completed purchase, except where required by applicable rules or agreed with you.
5. Refunds and Cancellations
All purchases of Recordly are final and non-refundable, except where a refund or other remedy is required by applicable law.
Please review the product description, system requirements, and purchase details carefully before completing your payment.
After a successful payment, you will be redirected to the software download page. Please ensure that your computer meets the stated system requirements before downloading and using Recordly.
If you encounter a technical issue with your purchase or download, please contact us for assistance. We will review the issue and help resolve technical problems where reasonably possible. Technical support does not automatically entitle you to a refund.
Nothing in this section excludes or limits any consumer rights or remedies that cannot lawfully be excluded or limited.
6. Software Download and Use
6.1 Desktop Application
Recordly is desktop software that you download and run on your own computer.
The application is designed for local screen recording and video editing. You are responsible for ensuring that your computer meets the software’s stated system requirements.
6.2 Local Operation
Recordly does not use a software license key or online license verification mechanism.
The Website purchase and download process is separate from the local operation of the installed application.
The absence of online license verification does not transfer ownership of the software’s underlying source code, design, trademarks, or other intellectual property to you.
6.3 Updates and Compatibility
Recordly does not include automatic software updates.
If a newer version becomes available, you may need to obtain and install it manually using the download options we provide.
We do not guarantee that every version will remain compatible with all future operating system releases, hardware configurations, or third-party software.
7. Permitted and Prohibited Use
You may use Recordly for lawful personal, educational, professional, or business purposes, subject to these Terms and applicable rules.
You agree not to:

- Use the Website to commit fraud, impersonate others, or engage in deceptive activities.
- Reverse engineer, decompile, or disassemble the software except to the extent that such restrictions are prohibited by applicable law.
- Redistribute, resell, sublicense, or commercially distribute the software itself without our written permission, except where expressly permitted by applicable law.
- Remove or alter proprietary notices or use our branding in a misleading manner.
We may investigate suspected violations and take reasonable action where appropriate and legally permitted.
8. Your Recordings and Content
You retain responsibility for the screen recordings, audio, webcam footage, editing projects, and exported videos you create using Recordly.
As between you and us, you retain any rights you hold in your original content. These Terms do not transfer ownership of your recordings or exported videos to us.
You are responsible for ensuring that you have the necessary rights, permissions, and legal authority to record, edit, store, and share your content.
You must not use Recordly to unlawfully record private communications, violate confidentiality obligations, infringe copyright, or disclose another person’s personal information without an appropriate legal basis or authorization.
Recordly is designed to process files locally. We do not obtain rights to access or use files stored on your computer merely because you use the software.
If you voluntarily send recordings, screenshots, or other materials to us for customer support, you authorize us to use those materials as reasonably necessary to respond to your request.
9. Intellectual Property
The Website and Recordly software, including their code, interface, design, branding, documentation, and other proprietary elements, are owned by or lawfully made available to us and are protected by applicable intellectual property rules.
Subject to these Terms, we permit you to download and use Recordly for lawful purposes consistent with its intended functionality.
Except for the rights expressly granted to you, no ownership rights in the software or Website are transferred to you.
You may not copy, modify, redistribute, resell, or create derivative works of the software except as expressly permitted by us or applicable law.
All trademarks, logos, and brand names remain the property of their respective owners.
10. Third-Party Services
The Website may rely on third-party services for account authentication, payment processing, hosting, or other Website functions.
Your use of Google Sign-In and payment services may be subject to the relevant third party’s terms and policies.
We are not responsible for third-party services that we do not control, subject to any obligations imposed on us by applicable rules.
Third-party services may change, become unavailable, or impose requirements that affect their integration with the Website.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and Recordly are provided on an “as is” and “as available” basis.
We do not guarantee that the Website or software will always be available, uninterrupted, error-free, or compatible with every computer, operating system, or hardware configuration.
We do not guarantee that every recording, editing operation, or export will complete successfully under all circumstances.
You are responsible for maintaining appropriate backups of important recordings and project files. You should not rely on Recordly as the sole storage location for important content.
Nothing in this section excludes any warranty or consumer protection that cannot lawfully be excluded under applicable law.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Recordly and its operators will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to your use of the Website or software.
To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to a claim concerning Recordly will not exceed the amount you paid for the relevant purchase giving rise to the claim during the twelve months preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including mandatory consumer rights or other non-excludable liability under applicable law.
Nothing in these Terms limits your rights where such limitation is prohibited by law.
13. Indemnification
To the extent permitted by applicable law, you are responsible for losses, claims, and reasonable expenses arising directly from your unlawful use of Recordly, your infringement of another person’s rights, or your material violation of these Terms.
Nothing in this section requires you to indemnify us for losses caused by our own unlawful conduct or liability that cannot lawfully be transferred to you.
14. Suspension and Termination
You may stop using Recordly at any time.
We may suspend or restrict access to the Website or an account where reasonably necessary to investigate fraud, protect security, address a material violation of these Terms, or comply with applicable obligations.
Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before taking action.
Suspension or termination of Website access does not automatically delete software or files already downloaded and stored locally on your computer.
Any rights or obligations that by their nature should continue after termination will remain in effect, subject to applicable law.
15. Privacy
Our collection and use of personal information are described in our Privacy Policy:
The Privacy Policy explains how we handle Website account information, Google Sign-In data, purchase information, and technical information.
It also explains the distinction between Website data and files processed locally using the desktop application.
16. Changes to These Terms
We may update these Terms to reflect changes to the Website, the software, our business practices, or applicable requirements.
When we make changes, we will update the “Last Updated” date at the top of this page.
Where required by applicable law, we will provide notice or obtain consent before material changes take effect.
Your continued use of the Website or software after updated Terms take effect constitutes acceptance only to the extent recognized under applicable law. If you do not agree to updated Terms, you should stop using the affected services.
17. Applicable Rules and Disputes
These Terms are intended for users worldwide.
We do not designate a specific country’s laws or courts as exclusively governing these Terms.
Any dispute arising from or relating to Recordly will be handled in accordance with the rules and procedures applicable to the parties and the dispute.
Nothing in these Terms excludes or limits mandatory rights or protections that apply to you under applicable law.
18. Severability

Any invalid or unenforceable provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permitted.
19. Entire Agreement
These Terms, together with the Privacy Policy and any applicable purchase terms presented to you, constitute the agreement governing your use of the Website and Recordly, subject to mandatory rights under applicable law.
If a specific purchase term conflicts with these Terms, the applicable purchase term will govern that transaction to the extent legally permitted.
